Definitions and Scope 

• These general terms and conditions of sale ("Terms") apply to all sales of gypsum underlayment bags (hereinafter "Products") by TECNODRY LLC ("Seller") to customers located in the United States (hereinafter "Buyer") 

Orders and Confirmation 

• All orders for Products are subject to acceptance by the Seller. Written order confirmation by the Seller constitutes formal acceptance of the order. 

Prices and Payment Terms 

• Prices for Products arc quoted in US dollars and are those in effect at the time of order confirmation. Prices do not include taxes, duties, or other additional charges, which shall be the responsibility of the Buyer. 

• Payment shall be made in accordance with the terms specified on the invoice issued by the Seller. Payments must be made without deductions or set-offs unless otherwise agreed upon in writing. 

Delivery and Transportation 

• Delivery terms will be specified in the order confirmation and shall be subject to Incoterms 2024. The risk of loss or damage to the Products shall pass to the Buyer upon delivery in accordance with the agreed terms. o The Buyer shall be responsible for providing safe and adequate access for the delivery of the Products at the agreed destination. 

Warranty 

• The Seller warrants that the Products shall conform to agreed specifications and be free from defects in materials and workmanship at the time of delivery. o Any claim under warranty must be notified to the Seller promptly upon discovery, and the Seller's liability shall be limited to replacement or refund of the defective Products at the Sellees discretion. 

Limitation of Liability 

• In no event shall the Seller be liable for any consequential, incidental, indirect, special, or punitive damages arising out of or in connection with the sale, delivery, or use of the Products. 

Force Majeure 

• The Seller shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, acts of government, labor disputes, or disruptions in transportation or supply chains. 

Governing Law and Dispute Resolution 

• These Terms shall be governed by and construed in accordance with the laws of the State of [Texas], USA, without regard to its conflict of laws principles. o Any dispute arising out of or in connection with these Terms shall be exclusively resolved by the state and federal courts located in Texas, USA.

Miscellaneous 

• These Terms constitute the entire agreement between the parties with respect to the sale of the Products and supersede all prior agreements and understandings, whether written or oral.
